Terms of Reference: Trainer for Miracle Corners Zambia (MCZ) Board of Directors on Corporate Governance.

1. Introduction

Miracle Corners Zambia (MCZ) is dedicated to fostering community development through capacity-building initiatives. To enhance the effectiveness and efficiency of our governance structure, we seek a qualified trainer to provide training to our Board of Directors on corporate governance, focusing on delineating the role of the board in relation to the day-to-day operations of the organization.

2. Objectives

The primary objective of the training is to enhance the board members’ understanding of their governance responsibilities and how to maintain an appropriate level of involvement in the daily operations of the organization. This will ensure that the board can effectively oversee the strategic direction of the organization without encroaching on the management’s role.

3. Scope of Work

The trainer will be responsible for the following tasks:

  • Develop Training Materials: Create comprehensive and engaging training materials tailored to the specific needs of MCZ’s Board of Directors.
  • Conduct Training Sessions: Facilitate interactive training sessions to educate the board members on the principles and practices of corporate governance, with a special emphasis on the balance between governance and management roles.

Focus Areas:

  • Roles and responsibilities of the board versus management.
  • Best practices in corporate governance.
  • Strategies for effective oversight and leadership.
  • Understanding of fiduciary duties, risk management, and strategic planning.
  • Evaluation and Feedback: Assess the effectiveness of the training through evaluations and provide feedback to MCZ on the outcomes and any additional training needs.

4. Deliverables

  • Detailed training agenda and materials.
  • A report on the training sessions conducted, including attendance and participant feedback.
  • Recommendations for ongoing development and governance improvements.

5. Qualifications

The ideal trainer should possess:

  • Extensive experience in corporate governance training, especially for non-profit boards.
  • A strong background in Non-Government Organizational management and governance.
  • Excellent communication and facilitation skills.
  • Proven track record of successful training engagements with other boards or similar organizations.

6. Duration

The training is expected to be conducted for one day only, with flexibility to accommodate the schedules of the board members.
