The Zambian Governance Foundation (ZGF) was established to provide assistance to a wide range of Zambian civil society organisations from well-established to small and emerging based in both rural and urban Zambia. ZGF requires the services from qualified audit firms to provide an opinion on the organisation’s financial statements and also certify that the accounting records have been prepared in accordance with International Accounting Standards. The external auditors will be required to perform the following but not limited to:

(a) Review the Financial Statements to determine whether they represent a true and fair view of the operations of the organisation,
(b) Examine the effectiveness and efficiency of ZGF’s internal accounting controls and accounting procedures,
(c) Examine evidence supporting the amounts and disclosures in the financial statements
(d) Determine whether or not the financial statements are free of material misstatements
(e) Prepare an audit report and opinion on the Financial Statements for the year 2018
(f) Confirm that the accounts for the year ending 31st December 2018 were prepared on an accrual basis of accounting,
(g) Carry out a systems audit on the effectiveness of ZGF’s governance, management and internal controls,
(h) Provide interim audits for the periods January to June 2018 and July to December 2018 on agreed dates and
(i) Provide a management letter detailing the possible weaknesses in ZGF’s internal control systems, procedures and routines.

Submission of Expression of Interest: The documents to be submitted shall include:

(a) The audit firm’s detailed profile,
(b) Copies of relevant certificates, such as certificate of incorporation/ registration, practicing certificate, and tax clearance,
(c) Copies of CVs for key personnel,
(d) Power of attorney,
(e) Minimum of three references who are current clients,
(f) Copy of the audit firm’s audited financial statements for the last two years and
(g) A quotation for provision of the audit services.

Shortlisting requirements: The Auditors are expected to meet the following minimum requirements:

(a) A minimum of five years’ experience in external auditing non-profit organisations including NGOs,
(b) Availability of qualified and skilled staff in accounting and auditing at associate and fellow level as evidenced in CVs for key staff,
(c) Financial capacity to undertake the audit assignment and
(d) Proof of Registration with the Zambia Institute of Chartered Accountants (ZICA)
